• A Marketplace for hyperlocal vendor shopping.
• A Schools Shopping Platform for parents to purchase their children’s school-related needs.

3. User Roles and Responsibilities:

• Vendors are responsible for listing accurate product descriptions, pricing, and ensuring the quality of goods sold.
• Buyers are responsible for reviewing product details before making purchases and adhering to the return policies stated herein.

• Users must not engage in illegal activities, fraudulent transactions, or violate applicable laws.

• Users must provide accurate information and maintain the confidentiality of their account credentials.

• Any misuse of the platform, including spamming or distribution of harmful content, may lead to account suspension or termination.

4. Payments:

• Buyers must pay in full upon purchase through the payment methods provided on the Platform.
• Payments are held and released to Vendors within 48 hours unless otherwise agreed.

5A. Liability Disclaimer:

UShopWeDrop.ng assumes no liability for:

• Failed transactions.
• Goods mismatches.
• Losses or damages arising from transactions.
• Buyers and Vendors are advised to independently verify transaction details before completion.

5B. Force Majeure:

• UShopWeDrop.ng shall not be held liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, power outages, or internet service disruptions.

6. Dispute Resolution:

In the event of a dispute, ToOctopus Limited will mediate to resolve the matter between Vendors and Buyers.

• Customers have a 24-hour window to request an exchange for purchased items. Refunds will not be processed unless there is clear and intentional misconduct by the Vendor, such as selling defective products.

7. Returns and Refunds:

• Items returned within the 24-hour window must be unused and in their original condition.
• Refunds will only be approved in cases of proven Vendor fault.

8. Governing Law:

• These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

9. Termination of Access:

• UShopWeDrop.ng reserves the right to suspend or terminate access to the Platform for users and vendors who violate these Terms and Conditions.

10. Amendments:

• UShopWeDrop.ng may modify these Terms and Conditions at any time. Continued use of the Platform constitutes acceptance of the updated terms.
